If you're looking to upgrade strictly for performance reasons then the answer is no, there will be no performance difference. If you want to use more than 4GB of RAM then 64-bit is the only way to do it.

umm I don't think i want to upgrade my RAM for this moment . So at all it doesn't worth upgrading because i will have no difference ?
No perceivable difference. Only real benefit to 64 bit is ability to have over 4GB of memory on a computer. There are also some lesser known security features in 64bit like Kernel Patch Guard.
