I have upgraded my CPU and motherboard. Now win 8 is telling me to activate it. My question is that should I deactivate my windows from the old system first?? Or if I give my serial it will be activated??
In a word, yes. However, the license agreement actually states that you must completely remove any old copies of the OS if you are transferring it to another ocmputer that you own.

If you cannot activate your copy because you upgraded your processor and motherboard contact Microsoft they should be able to help you activate it if you are having issues:

Talk to an actual person, don't use automated system, should be an option to.
