I will be upgrading my CPU and Motherboard in May.

I currently have;
Gigabyte GA-78LMT-S2P
FX 4100 3.6/3.8 Ghz 4MB 8MB socket AM3+ 95W
Zotac Geforce GTX 650
Crucial Ballistix 8GB DDR3 1333Mhz

New Motherboard;
Gigabyte GA-970A-UD3

New CPU Choices;
FX 4300 3.8/4.0 GHz 4MB 4MB socket AM3+ 95W
or
FX 6300 3.5/4.1 GHz 6MB 8MB socket AM3+ 95W

I want to stay within the 95W power profile and my current 4100 rarely if ever gets taxed. I do a lot of web site design, graphic design, some moderate gaming, Second Life, L4D series, Portal series, Borderlands etc,... Video encoding, dvd ripping along with the usual email, surfing and daily stuff.

Ordinarily the 4300 would be the no brainer, milder OC to get to my 4Ghz target, more overhead room for future OC if needed, however, the fact that the 4300 has half the L3 cache compared to my 4100 and the 6300 has me a bit concerned.

Would the 4MB instead of 8MB cache be any real hindrance? Would I notice at all in real world applications?

I pretty much have to get a new CPU because my old CPU and Motherboard will be going into another system.

Price wise, I can afford either one, I'm just wondering if the 6300 wouldn't be overkill for my needs, or if the 4300 would put me at some performance disadvantage due to the lesser cache.

Opinions? Thoughts?

Get the FX-6300. The price difference is only like $10 and it's worth it. The two extra cores will help in designing and you can easily get to 4ghz, even if you oc on stock cooler (what I did, not recommended though).

I'll be getting a CM Vortex Plus for the new CPU. The current one has the stock fan. The system the old parts are going into, won't need anything special. It's not going to see heavy usage.

I figured. I was just wondering if the 6 core might not be overkill. At the price points though, I guess it makes sense to just go ahead and get it.

The extra cache and/or cores will benefit many programs, I suggest you purchase the better CPU. Even some old games benefit from just more cache, for example.
