Is it worth updating?

I've had my pc for several years, no complaints, but it needs to be updated or replaced. Money is tight so if I could update for a couple hundred bucks and make it last another years or so, that would be great. I do not use this for any hardcore games, but I recently bought German Truck Simulator and all I get is a mostly black screen when I try to play.
I'm no expert, so what do you guys suggest?

New motherboard*
New CPU*
New RAM*
New GPU
Upgrade to Windows 7 Professional.
*All three of these will need to be bought together because you have some very, very, very old parts that will not be supported by newer technology :)

Edit: A full replacement might be easier at this point...just by looking at all of your stuff. You can build very budget friendly PCs now-a-days (you can even use slightly older parts and save a few more extra bucks if you know where to look ;) ).
