Windows 7/8 upgrade, yay or nay for this system?

Hey everyone, I just want to know if this PC can run the OSes mentioned in the title fine. The computer currently runs Windows XP which is pretty fast now because of the upgrade from 512 megs of ram to 2gigs recently. This is a 5 year old one.

specs:
dell optiplex 330
intel core 2 duo e4400 @2.00 GHz
memory: ddr2 2gb @400 MHz
80gb HDD
graphics intel g33/g31 express chipset family, 128MB

Really, wouldnt bother TBH. The rigs old and wasnt anything special for the time, wouldnt drop any more cash into the rig.
