Dell E521 Won't completely Boot

When I try to boot it stops on the Phoenix BIOS screen, with no error messages. I have de-powered the machine, removed the battery, used the jumper method to reset the BIOS, swapped hard drives, tested hard drive in another machine and it works. I can access f2 setup and it sees the four memory modules, so I assume they are ok. I removed two and three memory modules, and tried just one in each slot, no difference. F12 beeps and then takes me back to the Phoenix Bios screen. Do I need to replace the BIOS module or motherboard? ...or? I have multiple machines (I have been called a "power user"), so I don't need this one, but I would like it to work at least for a back-up or to sell. As it is it is good only for parts. HELP!!!

Motherboard would be the first guess to try.
