New memory and mobo for athlon ii x2 240

My motherboard recently died and I am planning on keeping my athlon ii x2 240 CPU and buying a new AM3+ board, with new memory yo go along with it.
My question is, will the DDR3-1600 memory work with my old CPU? I am hoping that it will simply downclock the memory and work fine, but I am slightly worried that it will be more complicated than that.
The motherboard I am planning on getting is the Asus M5A97 R2.0.

Because my old board used DDR2.

Yes, you should have no issues as far as DDR3 memory is concerned as "The AMD Athlon II X2 240 Dual-Core processor is integrated with DDR2 and DDR3 DRAM memory controller capable of supporting unregistered DRAM". But you might want to check the memory speed you are gonna go with. AMD Athlon II X2 series is known to support upto 1066MHz or perhaps upto 1333MHz but not above that. So tread carefully.
