so i was checking out this computer a friend of mine has for sale and he has an asrock extreme 4 gen 3 mobo with the p67 chipset but is using an ivy bridge 3570k. I know its compatible but is it worth upgrading the mobo to a z77?

Also, if i stick with the asrock board, will it be able to handle overclocking?

Yes, the motherboard your using can be used for overclocking.
