Upgrading my old cpu (old mobo)

I have a dell propriopetary motherboard in an old dell xps gen 5. Right now I have a pentium 4 3.2GHz w/HT and I'm thinking of upgrading it.
So far,the highest dual core I can get is a pentium D 945.
So the question is, would this cpu be worth the upgrade?

Yeah, I'm trying to avoid having to just build a new pc but I got this old dell and 99% of the parts it uses are made specifically by dell and can't be upgraded to standard tech so...yeah haha, dell screwed me over

For sure, been there haha
If everything played nice together, you would definitely see huge performance increase with a Pentium D, especially in multi-tasking. Obviously price is always the thing, but you can build sick mini-atx pcs now for $500 or less and get some pretty sweet performance/buck.
