New Motherboard and RAM? Or just new RAM?

Hello All. Current system is as follows

AMD Phenom II x2 555 (Unlocked into a tri core)
550w psu
Radeon 7850
Biostar A780L mobo
2gb DDR2 ram
Win 7 Ultimate 32-bit.

My question is the one in the title. Is it worth it for me to buy a new motherboard and DDR3 ram or should I just upgrade to 4gb of DDR2 ram? Even if I upgraded my motherboard and got about 8gb of DDR3 ram, I wouldn't be able to use it all unless I wiped my system and installed 64-bit. All I do is gaming and listening to music. I don't render videos or do any sort of photo/video/music editing that requires tons of ram. DDR2 ram prices are sky high right now but it would involve me updating my OS, and upgrading my motherboard in order for me to get DDR3 and I was wondering if it was worth that whole trip to do so.

Was anyone in the same position I'm in and what did you do to upgrade?

Normally, I'd say move to a DDR3 motherboard and new RAM. But upgrading to 4GB of DD2 would be the quickest and least expensive way to improve the 'feel' of the machine. Most games, maybe all, are 32 bit coded anyway. That means they can only utilize 4GB of memory.
