If it's a gamer, i'd say upgrade the GPU. high end radeon 7xxx's can be pretty darn cheap right now and would be a nice upgrade. If it's a media machine, or just a general use PC, i'd say an SSD to add some zip, and 840 evo is a great upgrade.

If you can spend about 300 I'd recommend an hd 7970 or r9 280x. Other good options would be the gtx 760 or a hd 7950 if you can find one for around 200. Other than that your system still has plenty of life left

thanks! Yeah It's gaming. I was def thinking those two things. Is the 840 pro necessary?
How about those new AMD Cards? Can my motherboard/PSU handle the R9?

Your PSU should be able to handle any single card, probably not high end sli/crossfire, but a R9-290(x) should work well with your setup. The 840 pro is nice, but not super necessary, the Evo is extremely fast and quite affordable ($170 for the 250GB on Newegg)

You should be fine there as well. Like others have said, the only thing you really need is a better GPU. I would bump up the multiplier a bit and go for at least 4.0ghz on that 2500k. That chip will do that without any effort.
