Need help for PC upgrade Intel VS AMD

Hi, recently I was using an Asus M2N-E motherboard, now I need to change the BIOS chip, however, I was using a AMD Athlon 64 X2 5200 @ 2.7Ghz and 4GB (4X1Gb) DDR2.

I also have a AMD FM1 A8-3800 APU, one 4Gb DDR3 RAM stick, a 525W Asus PSU chromed, Nvidia 9800GTX, Nvidia 8800GTX (BSOD after drivers installed, VRAM F**ked up), ATI 5750 1GB GDDR5,

Last week, I founded a Thermaltake Spedo Advance Package chassis with a Asus Rampage Extreme II Intel LGA 1366 and it's SupremeFX X-Fi audio card, but nothing else inside, not even the heatsink and fan...

Right now, I'm using a HP DC7600 with a Pentium D 945 @ 3.4Ghz, 4X1Gb DDR2, ATI 5750, Asus 525W PSU. Ablo to play Mass Effect 3 @ 1080p/60FPS

I wonder, what should I do.

Invest in a LGA 1366 4 core or 6 cores CPU and buy a secong 57XX card?
Buy a Phenom II X4 970 for my M2N-E and buy 4x2Gb DDR2 (MB limit)?
Buy a motherboard for my FM1?

Also, What is the meaning of Hyperthreading in the 1366? 6 physical cores, 12 threads? Like the Xbox 360 did?
