Trying to upgrade mt current PC for gaming.

Hello everyone, I am looking to up great my computer on a budged of at most $350. That ia really difficult i know my Current specc's are.
CPU: AMD Athlon(tm) 64X2 Dual Core 4800+ 2.70GHz.
Video Card: ATI Radeon HD 5770.
RAM: 4gb DDR2 don't remember the speed.
Motherboard: ASUS M2N-E SLI
OS: Win7 Ultimate 64-bit
So I am looking to upgrade on no more then $350?

This was actually pretty difficult.
If you want a new CPU, you have to get a new mobo, if you get a new mobo, you need new ram, and you obviously want a better GPU.
You should be able to play most games on high/ultra settings with 30+ Fps.

Ya I know I know about the cpu, mobo, and RAM. they are the main thing of what I need to upgrade they are I think close to 3+ years old. I do know hardware pretty well just don't have much time to look up parts. thank you this suggestion looks great.
