ASRock 970 Extreme4 and FX6300?

Hi, since my gaming laptop died 1 month ago, Im planning to build a gaming desktop, first I wanted to buy just the PSU and GPU, to use with my old cpu and mobo, but now I want to spend in these 2 things too and , with a budget of $200 for both.

Until today, I have bought this:
Brand New Antec BP550 Plus 550W ATX12V V2.3 Modular Power Supply
Sapphire AMD Radeon HD 7770 GHZ Edition 1 GB GDDR5

My current cpu and mobo:
CPU: Athlon 64 X2 5400+ 2.8GHz
Mobo: Not sure, but is has AM2 socket and DDR2.

Cpu and mobo possible upgrade:
CPU: AMD FX-6300 3.5GHz Black Edition $100 ~
Mobo: ASRock 970 EXTREME4 $100 ~

Im planning mid to intense gaming in full HD, and games like, NFS, Crysis, Skyrim, FIFA 14.

Now the question is: is all this worth it? First, Im choosing AMD for performance against money, Second, Im choosing that mobo for the sata3, usb3.0, amd3+ (read reviews that is better than fm2+) and ddr3 features, that my old mobo lacks on.

That's an alright combination. The gfx card is a little weak for "intense" gaming at 1080p. But you can get mid-settings with that combo. Crysis 3 for instance, is a PC killer. It takes a powerful machine to run that at max settings. The good news is that C3 even looks good with mid range settings.
