That'll work for a budget gamer at 720p resolutions. Some less demanding games will run smooth at 1080p.

For $4 more, this PSU will give you more capacity (360W vs 288W) on the all-important +12V rail: http://www.newegg.com/Product/Product.aspx?Item=N82E168...

For $6 more, this card will give you much better 1080p gaming than the GT 640: http://www.newegg.com/Product/Product.aspx?Item=N82E168...
...and with the above PSU that I recommended, you will have the necessary 6 pin connector. With the GT 640, you'll have to reduce settings quite a bit to run at 1080p. Not so much with this card.

The Athlon II quad core is still a fairly decent gaming CPU, but the AM3 socket is a dead end. Your upgrade possibilities with that motherboard beyond the Athlon X4 will be all used Phenom II X4 processors found on ebay. You should try to squeeze a bit more out of your budget and get a motherboard with an AM3+ socket so you can upgrade to newer processors in the future. However... if you stay with your original build, it will game and it will all be compatible.
