Priority for Updating Tower Hardware

I haven't updated my hardware in a bit and plan to start "modernizing" it, but was wondering what my priorities were in regards to gaming performance (what is most important to update first).

My Setup:
MB:
NVIDIA nForce 750i SLI MCP
CPU
Intel® Core™2 Quad Processor Q8400S
Ram:
4 GB DDR2 RAM (MB does not support DDR3)
GPU:
EVGA nVidia GeForce 9800GT 1 GB 2DVI/HDCP PCI-Express Video Card 01G-P3-N981-TR
PSU:
APEVIA ATX-CW500WP4 500W ATX Power Supply

Wel the way i see it the only two things that can be carried over to a new build would be the PSU and Video card. The motherboard is 5 generations of Intel ago (I have an Asus P5N-D which is a 750i nvidia chipset and a Q9550 and a GTX 480 and it works great for me) but if your looking to upgrade you might as well just start from scratch and build new vs using old parts or upgrading.

I appreciate the advice, and will definitely rebuild at some point, but am on a budget right now of about 350 or less. If it came down to replace either that GPU or that CPU for gaming, which would you say is a higher priority? That way, I can upgrade the MOBO down the road and carry the new GPU or CPU over, as well as get the new hardware that is a lower priority right now.

I would say GPU. No point in upgrading a CPU for a 6 year old motherboard. If you really wanted to like me because I don't really do a whole lot i upgraded from a Q6600 to the Q9550 for like 100 bucks on a used one on Ebay and over clocked it to 3.5 GHZ. Works great for what i do. Haven't played a game like Crysis 3 or BF4 that are heavy on the CPU and GPU yet but plan too soon since i've had this for a few months now but yea i would go GPU first. This way it can be carried over to the next rig. Also the PSU can be upgraded as well if needed. Get like a nice 750 watt which will give you a lot of head room for other devices or another video card if you ever SLI.
