M/B: Asus H97-PRO
RAM: G.Skill DDR3-1600 8GB Dual Channel RipjawsX F3-12800CL9D-8GBXL
PSU: Corsair HX-750i
GPU: XFX Radeon R9 285 2GB
CPU Cooler: Noctua NH-U14S
HDD: 1TB Seagate Barracuda
SSD: 128GB Crucial MX100
Case: NZXT H440
Would you approve?
I know the CPU cooler is very over kill but it is money I need to spend on the PC anyway.

The biggest problem is putting a high performing I7 CPU on a H 97 motherboard.
For that cost, I would definitely suggest the "K" version CPU and a Z97 motherboard.
The minimum RAM that I would recommend is 1866 CL9 RAM (2133+ is better for similar cost).
And lastly, a GTX 970 is a better buy for that performance range.

Why is having an i7 bad on a H97? I wont be overclocking.

No there are no compatibility CPU/Motherboard issues. The 1600 Ram was in the high performance range 5 - 10 years ago. The optimum price / performance point is now at the CL9 1866 speed.
If as you say that you will do no overclocking, I would suggest the I5-4570 for a $100 less.
