I've got a GTX 560ti in my system currently and I'm considering upgrading to the EVGA GTX 970 4gb. I built my rig back in 2011 and have not made any changes to it since. The two things I am considering are upgrading my GPU like mentioned and also adding another 8 gb of memory. Everything else I would like to keep the same (for simplicity), but I was wondering if anything here looks like it could cause problems. Current setup:

Cooler Master Storm Scout ATX case
Intel i5-2500k
MSi p67A-G43 (B3) 1155 ATX mobo
MSi GTX 560ti Twin Frozr II
Crucial 8gb 2x4 D3 1333 CL9 DIM
OCZ 760W ATX PSU

Would simply replacing my 560 with the 970 be all that's needed or should I consider upgrading other components, as well?

As for ram, 8gb is enough, so you don't have to get another 8.

Your 2500k will bottleneck if not overclocked, so if you don't have a cooler other than the stock one, thats what you will have to get.

I've actually got a Hyper 212 Plus, which I neglected to mention. I have my i5 overclocked a little bit (can't remember what setting off the top of my head). What's the most stable setting people normally OC the i5-2500k to?
