Upgrade Question, also hardware related

So, I am planning an upgrade for my computer, new APU, more RAM and upgrading to a 64-bit OS. My question is this; if I don't do everything all at once and decide to do the OS first, will I have to reinstall the OS after changing my processor to rebuild the HAL?

As long as you keep the same motherboard, you should still be able to upgrade your APU and add memory without affecting your activation status (and not have to re-install the OS either).
