Well, if that's a firm limit, I might suggest an i3. It will have better gaming performance than any of the AMD's and can easily be upgrade later to an i5 or i7. But in all honesty, the best thing to do may be to wait until you can afford a little more. $200.00 just isn't going to get you a significant upgrade over what you have now.

Not worth it if you ask me. You would see little difference between the two processors. The i5 4460/4590/4690 would be a better upgrade while still allowing you to re use your existing RAM. You'll need to do a fresh install with either upgrade.

What would you recommend as for MOBO with the i5 4460/4590/4690?

Oh true, so the fresh install, can i just call MS to re-validate it to my new MOBO ?
Still asking questions and doing research now before i actually decide to make any type of purchase lol

If you want to overclock with the 4690K, I would use something like the Gigabyte GA-Z97X Gaming 3 or 5. If you want more of a budget board for use with the locked processors, the Asrock H97 Anniversary is pretty solid. Since you have the retail version of Windows, it should activate without having to call MS.
