I have a Dell Studio XPS 435 MT desktop with the following specs:
Intel Core i7 CPU 920@ 2.67 Ghz
12 Gb Ram
64 bit operating system
CURRENT GPU AND POWER SUPPLY: ATI Radeon HD4850 512MB GDDR3 PCI Express 2.0 x16 and 350W PSU
the ampere rating on your pc's psu's +12v rail: +12VA/ 15A +12VB/16A
Dell ST2420Lb LCD Display (1920 x 1080 max, 75 max refresh)
750 Gb hard drive

I was trying to upgrade my OS from windows Vista premium to Windows 7 Professionel but apparently my video card is not compatible.

If you please can suggest what should I upgrade to as GPU and PSU to have my computer running with windows 7 64 bit that will be really appreciated.

Budget wise, I am really trying to keep it in the 200$ range or so.
I use my computer mostly to surf the internet, check emails or watch videos.

Than I'd advise you to buy an gtx 750 ti, you won't have to get a new PSU and is sufficient for the activities that you mentioned

Just looked it up , there are three :
GTX 750 TI FTW, SC or just TI.
Should I get the FTW or the simple TI?

Just the ti will be more than enough for just surfing and watching videos. Actually you wouldn't need it but I recommend it cause it's Nvidia's most energy efficient video card and wont cause you any trouble.

The other problem which arise is that all three GTX cards are 1.5" thick. the ATI HD 4850 is only 0.6" thick and when I mesure in the case I don't have enough clearance to fit the GTX card in there

Well the I/O shield is just 1 slot, but the card including the fans require 2 slots, do you have the space inside the case to accomodate 2 slots?

If you don't actually play games on the system, you don't need an add-on card, the onboard video in your CPU is fine for even HD video.

If you will be using the system for games, the GTX 950 is a good buy now with rebates. This one is under $120 after rebate, a very good deal for the speed. http://www.newegg.com/Product/Product.aspx?Item=N82E16814127935&cm_re=gtx_950-_-14-127-935-_-Product It's a bit faster than the new RX 460 which is about the same price. You should not need a new power supply to run it.

If you want to swap the power supply, which may be a good idea anyhow as a good one will only increase the life of the system and can be moved to a higher end setup later this wold be good http://www.newegg.com/Product/Product.aspx?Item=N82E16817438028&cm_re=evga_supernova-_-17-438-028-_-Product and will be at $200 with the video card.

Thank you for the links.
The problem I keep running into is that the card I am replacing has only 1 slot and is 0.6" thick. The clearance I have for the new card is about 1.2". The card you have pointed to here is double slot and looks too thick to fit in the room I have got.
What do you think about this card , it looks like it can fit:

I have about 1.2- 1.3" room for the new card even dough there is 2 empty slots there, from the side of the GPU fan there is 5 wires coming out of the CPU( those wires will be running between the GPU and the case wall) that I don't want to tangle around or stop the GPU fan.

The one you linked is 1.33 inch so that won't fit. Also the mod above mentioned something that I didn't realize, you won't need a video card if you just surf the web and watch videos. The igpu will be more than enough for that

The problem I am having is since I have upgraded to the windows 7 pro my system either doesn't boot, boot with messed up screen and then keeps rebooting. I have tried numerous time to update the driver from AMD website but the problems persist. When I looked around, I found that the AMD Radeon HD 4850 512 Mb doesn't support windows 7. That's why I am looking to upgrade my GPU.

the whole room I have between the slot and the case wall is exactly 1.5", I am thinking if I live 0.2" room between the GPU and the case wall for the wires running out from the CPU I will be good.
 


Your case has enough room in it for a double slot video card, and why do you want an add-on video card if you don't use the system for games? Just take out the card that's bad and use the motherboard video. You can get that single slot 750 Ti, it's just a slower card for about the same price. But you don't even need to spend money on the card for just watching videos.
