Upgrade OS from OEM to Retail?

I was wondering... I have a friend who has an oem version of Vista on his computer that I wish to upgrade to Windows 10 via a flash drive. Does Windows 10 have to be oem as well to work or not?

I realize this kind of question has been asked a few times before, but I never seen a clear cut yes or no answer.

A clean install, with a Win 10 license that you have purchased....sure.
That is not an "upgrade". That is simply a wipe and full install.

Functionality depends on the specs of the PC.

There is no Upgrade from Vista to Win 10. OEM or otherwise.

But I've even seen tutorials of clean installing Windows 10 onto XP and Vista machines.

Sorry. I should have chosen my words more carefully. I do plan on doing a clean install. So using a retail, non oem version will work on a machine that is running an oem operating system?
