You can keep the first motherboard in the bigger case, it will support mATX, but I think it looks weird having a small motherboard in a big case. It's not really an issue, both will work.

The integrated graphics are based on the CPU, the Xeon doesn't have any so you need a discrete GPU, regardless of the motherboard.

ok thanks for are your help! :D

The Corsair is a better case in my opinion, but it is an ATX mid-tower, so it will be bigger. You may want to buy the ATX version of that motherboard instead:

Motherboard: Gigabyte GA-H97-D3H ATX LGA1150 Motherboard ($92.75 @ Amazon)

That motherboard fits the other components right? so the only thing i am going to need to switch out to be able to use 230ti is the motherboard? sorry for newbie questions :p  also i saw that the new motherboard u linked had display ports so can i cut out the basic nvidia gfx card?

I would go with something like this:

PCPartPicker part list / Price breakdown by merchant

CPU: Intel Xeon E3-1231 V3 3.4GHz Quad-Core Processor ($248.98 @ SuperBiiz)
Motherboard: Gigabyte GA-H97M-D3H Micro ATX LGA1150 Motherboard ($76.99 @ SuperBiiz)
Memory: G.Skill Ares Series 16GB (2 x 8GB) DDR3-2133 Memory ($159.99 @ Newegg)
Storage: Crucial MX100 256GB 2.5" Solid State Drive ($112.98 @ NCIX US)
Video Card: EVGA GeForce GT 610 1GB Video Card ($29.99 @ Newegg)
Case: Silverstone PS08B (Black) MicroATX Mid Tower Case ($37.98 @ Newegg)
Power Supply: SeaSonic 520W 80+ Bronze Certified Semi-Modular ATX Power Supply ($69.98 @ SuperBiiz)
Total: $736.89
Prices include shipping, taxes, and discounts when available

This gives you 8 threads, 16GB of fast RAM, and a big SSD to put all the games on. This case is more compact than the N300, but still offers plenty of space for hard drives, should you want to use this server to store files as well. The Xeon doesn't have integrated graphics, so you just need a basic GPU.

You may want to just double check which motherboards Linux likes, Gigabyte is usually a safe bet though, and Intel and nVidia are fine.

Thanks alot! this helped ill be sure these components but do you know if the Corsair 230T is better then the silverstone? since my friend is selling one and i might get a really good deal on it :p
